Debt capital markets are an important source of funding for corporates, financial institutions, sovereigns and other issuers. This two-day course follows the full life cycle of a bond transaction, from the issuer’s funding requirement and choice of instrument through structuring, documentation, investor engagement, pricing, settlement and post-issuance management.
The course bridges the gap between documentation-focused legal training and finance-focused markets training. Participants learn to connect the issuer’s funding objective, investor assessment, legal terms and execution outcome across the full transaction lifecycle.

- The full life cycle of a bond transaction through an integrated case study
Learning objectives
By the end of the course, participants should be able to:
- Explain how a bond transaction works and how bonds compare with other forms of debt financing
- Identify the principal parties and understand their commercial and legal roles
- Assess the main choices involved in structuring a bond
- Understand the core economics of coupon, yield, spread and price
- Explain how credit, ratings, ranking, security and covenants influence investor demand and pricing
- Identify the principal transaction documents and the purpose of key provisions
- Recognise the main disclosure, listing and regulatory considerations affecting an issue

Who will benefit from this course?
The course is designed for lawyers, bankers, treasury professionals, corporate-finance professionals, investors, regulators and others involved in debt securities. A basic understanding of commercial finance is helpful, but prior specialist debt-capital-markets experience is not required.
Presenter
Siyathokoza Ngobese is the Group Strategic Funding Specialist within Group Treasury at Standard Bank, where he is responsible for originating, structuring and executing capital raising transactions in the global markets. A seasoned treasury professional, he brings experience from both local and international institutions, having held roles in treasury and global markets at FirstRand Bank and Standard Chartered Bank, executing capital market transactions and negotiating global markets master agreements.
Siyathokoza is a judge for Law.com International’s 2024 and 2025 African Legal Awards, in recognition of his work on derivatives, LIBOR transition, and thought leadership through presentations on key developments in the African global markets.
He is passionate about the development of African global markets and is committed to unlocking the continent’s potential through deeper integration with international financial systems.
